Codos products, diagnostics, pilots, software, professional services, and customer deployments are governed by separate agreements, such as an order form, master services agreement, statement of work, data processing agreement, or other written contract.

If these Terms conflict with a separate agreement between you or your organization and Codos, the separate agreement controls.

You must be at least 18 years old to use the website.

If you use the website on behalf of an organization, you represent that you have authority to act on its behalf.

You may use the website for lawful business and informational purposes.

You may not:

• Attempt to gain unauthorized access to the website or related systems.
• Interfere with the website’s operation or security.
• Introduce malware or harmful code.
• Use automated systems to scrape or extract website content without written permission.
• Reverse engineer any website functionality.
• Impersonate another person or organization.
• Use the website or its content to create a competing dataset, product, or service.
• Use the website in violation of applicable law.

The website and its content, including text, software, designs, graphics, trademarks, logos, videos, diagrams, and other materials, are owned by or licensed to Codos.

Codos grants you a limited, revocable, non-exclusive right to access and use the website for lawful internal business purposes.

Do not submit confidential or proprietary information through the public website unless Codos has agreed in writing to receive it confidentially.

This section does not apply to Customer Data governed by a separate customer agreement.

Any examples, estimates, projections, benchmarks, case studies, savings figures, productivity improvements, or customer results presented on the website are provided for informational purposes.

Results depend on each organization’s circumstances, systems, data, implementation, management, and other factors. Codos does not guarantee that any customer will achieve the same or similar results.

The website may reference or link to third-party websites, products, or services.

Codos does not control and is not responsible for third-party content, availability, security, terms, or privacy practices.

The website and its content are provided “as is” and “as available.”

To the fullest extent permitted by law, Codos disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, and non-infringement.

Codos does not guarantee that the website will be uninterrupted, error-free, secure, or free from harmful components.

Website content does not constitute legal, financial, employment, tax, or other professional advice.

To the fullest extent permitted by law, Codos and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or relating to the website.

Codos’s total liability arising from or relating to the website will not exceed the greater of:

• $100; or
• the amount you paid directly to Codos specifically for use of the public website during the 12 months preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law or to liability governed by a separate written customer agreement.

You agree to defend, indemnify, and hold harmless Codos and its officers, directors, employees, contractors, and affiliates from claims, losses, liabilities, damages, and expenses arising from your unlawful use of the website or violation of these Terms.

Codos may update, suspend, modify, or discontinue any part of the website at any time.

We may also update these Terms. The updated Terms will become effective when posted, unless otherwise stated.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any dispute relating to these Terms or the website will be brought exclusively in the state courts located in San Francisco County, California, or the federal courts of the Northern District of California, and each party consents to their jurisdiction and venue.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

Codos’s failure to enforce a provision is not a waiver of its right to do so later.

You may not assign these Terms without Codos’s written consent. Codos may assign these Terms as part of a merger, financing, reorganization, sale of assets, or similar transaction.

These Terms constitute the entire agreement between you and Codos concerning use of the public website.
